Your access to the directory is subject to our Privacy Policy, Terms of Use and Advertiser Agreement. Advertiser agrees it is the sole responsibility of advertiser to read the directory Privacy Policy, Terms of Use and this agreement. You may change or discontinue your link at any time. We reserve the right to modify, suspend or terminate access to the link service in the directory at any time for any reason without notice or refund, including the right to require you to change your link destination. Failure of Advertisers to provide an active link destination will result in removal of link from the directory without notice or refund. We also reserve the right to delete all program and data files associated with your account and/or other information you have on our system.
By ordering a Paid Listing in the Access Now Business Directory you are committing to a one year term which is automatically billed monthly on the credit card supplied at signup. Upon expiration of the Initial One-Year Term, the term of this Agreement shall automatically renew on a month-to-month basis unless you or we notify the other of its intent not to renew at least thirty days before expiration of the Initial One-Year Term. If you choose to have your Advertising removed from the Access Now Business Directory prior to the end of the Initial One-Year Term you shall notify us in writing and the unpaid balance for the entire Initial One-Year Term will become immediately due and owing.
Advertisers agree to provide products or services that may only be used for lawful purposes. Providing or solicitation of any material that violates United States Federal, State, or other policies or laws that may apply in this jurisdiction or your local area is prohibited. This may include material that is obscene, threatening, harassing, libelous, or in any way a violation of intellectual property laws. Advertisers also agree to abide by the policies of ACCESS NOW and any host server that ACCESS NOW may utilize. No material may be published on web pages provided by ACCESS NOW, or linked thru, or to, that would commonly be considered "quot;indecent"quot; or "quot; adult material.
You must bear the risk of any liability relating to your use of our directory. ACCORDINGLY, YOUR USE OF THE DIRECTORY IS ENTIRELY AT YOUR SOLE RISK. WE WILL NOT BE RESPONSIBLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT OR INDIRECT, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES OR LOSSES YOU MAY INCUR IN CONNECTION WITH OUR SYSTEM, YOUR USE THEREOF OR ANY OF THE DATA OR OTHER MATERIALS TRANSMITTED THROUGH OR RESIDING ON OUR SYSTEM, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF WE HAVE ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR LOSS.
ACCESS NOW reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the directory (or any part thereof) with or without notice. You agree that ACCESS NOW shall not be liable to you or to any third party for any modification, suspension or discontinuance of the directory.
You shall defend and indemnify us and hold us harmless from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including reasonable attorneys' fees), relating to any acts by you or materials or information transmitted by you in connection with the directory and your link, leading wholly or partially to claims against us or our directory by other users, subscribers or third parties, regardless of the type of claim or the nature of the cause of action.
THE DIRECTORY IS PROVIDED "AS IS" AND WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TITLE, NON-INFRINGEMENT OR ANY OTHER WARRANTY, CONDITION, GUARANTY, OR REPRESENTATION, WHETHER ORAL, IN WRITING OR IN ELECTRONIC FORM, INCLUDING BUT NOT LIMITED TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION CONTAINED THEREIN OR PROVIDED BY THE SERVICE.
You agree that this Agreement shall for all purposes be governed by and construed in accordance with the laws of the State of California, and that any action arising out of this Agreement shall be litigated and enforced under the laws of the State of California. In addition, you agree to submit to the jurisdiction of the courts of the State of California, and that any legal action pursued by you shall be within the exclusive jurisdiction of the courts of the State of California.
